Terms of Service & Acceptable Use Policy

1. Acceptance of Terms

By accessing and using Automation Studios' platform and services ("Service"), you accept and agree to be bound by these Terms of Service and Acceptable Use Policy (collectively, "Terms"). These Terms apply to all visitors, users, agencies, and their end-clients who access or use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Services

Automation Studios provides an AI-powered platform that enables agencies to deploy voice agents, chat agents, SMS automation, lead generation tools, and related digital marketing and communication services on behalf of their clients. The platform leverages third-party telecommunications providers, including Twilio, to facilitate voice calls, SMS messages, and other communications. The specific services available to you depend on your subscription plan and configuration.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account.

As an agency user, you are also responsible for the actions and compliance of your sub-accounts and end-clients. You must ensure that all users operating under your agency account comply with these Terms, applicable laws, and the acceptable use requirements set forth herein.

4. Telecommunications Compliance

By using the Service to make or receive voice calls, send SMS/MMS messages, or operate AI-powered communication agents, you agree to comply with all applicable telecommunications laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA) — You must obtain proper prior express written consent before making any autodialed or pre-recorded calls or sending automated text messages to consumers.
  • Telemarketing Sales Rule (TSR) — You must comply with FTC telemarketing rules including do-not-call requirements and disclosure obligations.
  • CAN-SPAM Act — All commercial electronic messages must comply with CAN-SPAM requirements including accurate headers and opt-out mechanisms.
  • State and Local Laws — You are responsible for compliance with any state-specific telemarketing, robocall, or data privacy regulations that apply to your business and your clients' businesses.
  • FCC Regulations — All use of voice and messaging services must comply with applicable FCC rules, including caller ID requirements and restrictions on artificial or pre-recorded voice messages.

5. Consent & Opt-In Requirements

You acknowledge and agree that before initiating any automated communication (voice call, SMS, or chat) to any individual, you or your client must have obtained valid prior express written consent from that individual, as required by the TCPA and related regulations. This consent must:

  • Be in writing (which may be electronic)
  • Clearly authorize the specific type of communication (calls, texts, or both)
  • Identify the party or parties authorized to send the communications
  • Include the phone number to which communications may be sent
  • Not be a condition of purchasing any goods or services

You are solely responsible for maintaining records of all consents obtained and must be able to produce such records upon request by Automation Studios or any regulatory authority.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Send unsolicited communications (spam), including calls or texts to individuals who have not provided proper consent
  • Engage in any form of harassment, fraud, phishing, or deceptive practices
  • Impersonate any person, business, or entity, or misrepresent your affiliation with any party
  • Transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Use the Service to conduct or facilitate illegal activities of any kind
  • Attempt to bypass, circumvent, or disable any security, rate-limiting, or compliance features of the platform
  • Use the Service in a manner that violates the acceptable use policies of our third-party providers, including Twilio
  • Make calls or send messages using spoofed, misleading, or inaccurate caller ID information
  • Contact numbers on the National Do Not Call Registry or any applicable state do-not-call lists without a valid exemption

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

7. AI Agent Disclosure Requirements

When deploying AI-powered voice agents, chat agents, or SMS agents through the Service, you agree to clearly disclose to all recipients that they are communicating with an AI system. This disclosure should occur at the beginning of each interaction and must comply with all applicable laws and regulations governing AI-generated communications.

You are responsible for configuring your agents with appropriate disclosures and ensuring end-users are informed about the nature of the communication, data collection practices, and their rights to opt out.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You acknowledge that communications processed through the Service (including call recordings, transcripts, chat logs, and SMS content) may be stored and processed for service delivery, analytics, quality assurance, and compliance purposes. You are responsible for informing your end-users and clients about any recording or monitoring of communications, as required by applicable laws (including two-party consent states).

9. Third-Party Services

The Service integrates with third-party providers including, but not limited to, Twilio (telecommunications), Retell AI (voice AI), Clerk (authentication), Stripe (payments), and GoHighLevel (CRM). Your use of the Service may be subject to the terms and policies of these third-party providers. Automation Studios is not responsible for the availability, accuracy, or policies of third-party services.

By using the telecommunications features of the Service, you also agree to comply with Twilio's Acceptable Use Policy and Twilio's Terms of Service.

10. Billing & Payments

Certain features of the Service require a paid subscription or usage-based charges. You agree to pay all fees associated with your selected plan and usage. Fees are non-refundable except as required by law or as expressly stated in your service agreement.

Telecommunications usage (voice minutes, SMS messages, phone number rentals) is billed based on actual usage and deducted from your agency wallet balance. You are responsible for maintaining a sufficient wallet balance to cover usage costs.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Automation Studios and its licensors. The Service is protected by copyright, trademark, and other applicable laws. You retain ownership of any content you create or upload through the Service, and you grant Automation Studios a limited license to use such content solely for the purpose of providing the Service.

12. Suspension & Termination

Automation Studios reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or third parties, or is otherwise objectionable. Grounds for suspension include but are not limited to:

  • Violation of telecommunications laws or regulations
  • High complaint rates or carrier flags on your phone numbers
  • Failure to maintain proper consent records
  • Non-payment of fees
  • Any violation of the Acceptable Use Policy

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUTOMATION STUDIOS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY REGULATORY FINES, PENALTIES, OR LIABILITIES ARISING FROM YOUR USE OF THE TELECOMMUNICATIONS FEATURES OF THE SERVICE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Automation Studios and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including telecommunications and data privacy laws.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
